from the Editor: It is that time of year again for the Technolink
Association's Annual Visionary Forum. This year we promise
to have an Explosive Roundtable Discussion with High-Tech, Life
Sciences, Educational, Financial and Political Leaders Exploring
the Risks of Building Business for the
Ever Changing Needs of the 21st Century. Since 9-11 the practice
of business and government have changed dramatically to meet
the needs of homeland security to preserve the Freedom and Democracy
of our Country. We look forward to seeing you at our upcoming
gatherings and this year's Visionary Forum, which will be held
on May 23rd, 2002, 9:00 a.m.-2:00 p.m. at the Omni Hotel, Downtown
Los Angeles.

LEGAL INSIGHTS
We asked
Josh Lichtman, Attorney at Fulbright & Jaworski L.L.P.
to share his insights on litigation issues that may take place
due to fallout of ENRON:
"Much
attention has been given this year to the investigation of Enron's
accounting for a somewhat exotic array of off balance sheet
partnerships. However, of potentially broader implication for
other technology businesses is the recent disclosure of investigations
by the Securities and Exchange Commission into some of the more
mundane aspects of the accounting practices of Global Crossing,
Qwest and WorldCom. The SEC's probe of Global Crossing and Qwest
has been focused on those companies' recognition of revenue
and capital expenses from "swaps" of fiber-optic network
capacity. At heart, the investigation involves the issue of
whether the swap transactions had a legitimate business purpose;
i.e., were these real "sales." Similarly, the investigation
of WorldCom concerns its practices for the booking of sales
revenue and write offs of unpaid accounts receivable. Renewed
interest in revenue recognition practices at these telecom giants,
from both the SEC and, likely to follow, the shareholders' class-action
bar, suggests that all companies should review their accounting
practices to ensure that appropriate revenue recognition standards
are not being compromised in order to meet quarterly financial
projections or estimates."
