This summer has been a continuation of “wake up calls” and “shake ups” in Corporate America. Just when many Americans were starting to feel more at peace with the international challenges facing us daily, our corporate leaders opened another can of financial uncertainties. As the heat of the summer sizzles away, I think that the end of the third quarter will be more fruitful if people remember the core value of their investing and building long term. CULVER CITY EMBARKS ON A COMPUTER AUTOMATION PROJECT
Update from Joe Susca, Project Manager, City of Culver City

In an elaborate computer automation project, the City of Culver City is developing a maintenance management plan for its equipment that rivals the industry. "The new system will incorporate the use of bar coding and Palm Pilots to obtain and record equipment maintenance activities in a wireless fashion," commented Joe Susca, the City's Project Manager. The new system creates a preventative maintenance schedule of tasks accessible by crews and equipment managers that are based on manufacturers recommendations. "The wireless element allows our crews to use the system in the field, providing the ability to record equipment repair/maintenance activities, and to pull up historical information," Joe added. The automation project will be completed by the end of the first quarter, 2003.

CORPORATE GOVERNANCE IN PRIVATE EQUITY

Insights from Dorothy Pavloff, California Technology Ventures….

Current headlines have been commenting on the role of corporate governance in public companies. I believe it is important to note that corporate governance guidelines apply to private venture backed companies as well. As a venture capitalist, my objective is to work with a start-up to shape the company for an eventual sale to a public company or an IPO. Since our goal is to exit an investment through the public markets, we work with management to adopt corporate governance best practices in the early stages of a company’s formation. For instance, when a company forms a board of directors, an audit committee and a compensation committee are appointed. These committees typically consist of non-management board members to promote independent opinions. The audit committee’s role is to promote effective financial reporting by working directly with the company’s outside auditors in reviewing financial results and accounting procedures used by the company. The purpose of the compensation committee is to monitor and benchmark management compensation and to make recommendations regarding stock option plans. If these committees are effective, many of the problems that are currently eroding investor trust can be avoided. Corporate governance effects all company stakeholders and best practices can increase the company’s overall value. Norman Finch, Attorney, Fulbright & Jaworksi L.L.P. Talks About “MDL”

There will no doubt be many legal consequences for shareholders and CEO's alike in the aftermath of the accounting scandals of Enron, Global Crossing, Worldcom and others. However, the impact on the legal system itself will be significant as well. The sheer size of the litigation matters, which will result from this corporate fallout, will inevitably require the expanded use of what is known as the multi-district litigation system ("MDL"). Under the MDL rules, cases, which have been filed in different districts and involve one or more common questions of fact may be transferred to any one district for coordinated or consolidated pretrial proceedings. The obvious purpose of the MDL system is to encourage judicial efficiency and to eliminate the possibility of conflicting rulings in more than one district court on a similar issue. MDL procedures are typically used when there are numerous lawsuits filed as a result of a single incident or series of events. Lawsuits against corporations brought by multiple plaintiffs concerning similar issues of alleged accounting fraud seem particularly well suited for the MDL system.
What this means in practical terms is that both corporations and their lawyers will need to become more familiar with the MDL practice. The MDL rules themselves are quite complex. Another impact on the judicial system is that the MDL process may slow down if there are an inordinately high number of MDL matters filed over the next few years. Therefore, even though there are judicial efficiencies associated with the MDL practice, the fact that numerous MDL matters may arise out of the corporate accounting scandals may in fact work against those judicial efficiencies. ARE WE READY FOR VIRTUAL INTERACTION ON A DAY TO DAY BASIS?

It seems that every year, the latest consensus in the high-tech world of video teleconferencing is that finally the technology is at the cusp of general acceptance. Yet, each year, we seem no closer to realizing the dream of sitting at one's own desk rather than driving or flying across town or country for that all-important face-to-face meeting. What's wrong? The truth is, there's no substitute for meeting with someone in person. There's a lot to be said for sharing the nuances of in-person meetings. Still, the slow road to ubiquitous remote visual communication has revealed some remarkable technical breakthroughs. Now, there is a new, perhaps unforeseen, paradigm in the realm of public safety and security.

Whereas the impetus to develop highly advanced means of transmitting video to remote communication, the new paradigm relies on the fact that no other means exist that can place first-responders at the scene of a fire or crime in a matter of seconds. Sequent Technologies has developed just such a device. With the Sequent Ranger 350i, a local fire department can take control of a dangerous situation, even before the brigade can jump aboard their trucks. Emergency personnel can view the site from numerous cameras, take control of a building's public address system, and even assume control of elevators and other facilities on the premises, all in a matter of seconds. Even more remarkable, Sequent has developed a technology that does all of this wirelessly, using existing cellular data technologies.

In a post 9/11 world, it's comforting to know that American technology has risen to the point where a cop on the beat can look through walls, or around corners that may be blocks or even miles away, and where firemen can scale skyscrapers in a single bound.
